These Terms & Conditions govern your access to and use of all Zonixx platforms, applications, digital channels, and related services.


1. Preamble & Acceptance

1.1 Corporate Structure

Zonixx Global (“Zonixx,” “we,” “our,” or “us”) is a registered business name operated under Vinixx Nigeria Limited, a principal subsidiary of the Vinixx Group of Companies, duly incorporated under the laws of the Federal Republic of Nigeria. We operate Zonixx.ng, App.Zonixx.ng, and related applications offering unified event hosting, reward programs, digital transactions, and utility settlement services.

1.2 Contractual Agreement

These Terms & Conditions (“Terms”) constitute a legally binding agreement between Zonixx and any person or entity (“User,” “you,” or “your”) who accesses, registers, or transacts on our Platform. By creating an account, completing a transaction, or using any part of our services, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

1.3 Capacity and Eligibility

You must be at least eighteen (18) years old and possess the legal capacity to enter into binding contracts. If you act on behalf of a corporate entity, organization, or partnership, you warrant that you possess the requisite authority to represent and legally bind that entity to these Terms.

1.4 Amendments

Zonixx reserves the right to modify or replace these Terms at any time at its sole discretion. The most current version of these Terms will always be posted on our Platform. Your continued use of our services following the publication of any modifications constitutes your explicit acceptance of the revised Terms.

2. Definitions

Within this agreement, the following terms shall be defined as follows:

  • Account: The secure personal or business dashboard created by a User upon registration on the Zonixx Platform.
  • Services: The suite of features provided on the Platform, including but not limited to event ticketing, contest hosting, reward distributions, and bill payments.
  • Wallet: The secure digital ledger profile within a User Account utilized to store, monitor, or route transacted values.
  • Organizer: A User who establishes, manages, or publishes an event, contest, nomination, or campaign on the Platform.
  • Participant: A User who purchases tickets, participates in contests, casts votes, submits forms, or interacts with a hosted Organizer campaign.
  • Transaction: Any financial deposit, ticket purchase, voting settlement, or platform payment confirmed on the Platform.
  • Service Fee: The percentage or fixed commission applied to transactions processed via Zonixx.

3. Account Registration & Security

To access and utilize our services, you must complete our registration procedure. By doing so, you agree to:

  1. Provide accurate, current, and complete details during signup.
  2. Complete mandatory Identity verification (KYC), which may require your Bank Verification Number (BVN), National Identification Number (NIN), or Corporate Affairs Commission (CAC) documents, in compliance with Central Bank of Nigeria (CBN) regulations.
  3. Ensure the confidentiality of your login credentials and immediately notify us of any unauthorized access.
  4. Refrain from creating multiple accounts or impersonating other individuals or entities.

4. Scope of Services

Zonixx provides a unified service infrastructure enabling:

  • Event Ticketing & E-commerce: Creation, sale, validation, and check-in of digital event tickets.
  • Voting & Contests: Digital platforms supporting public and paid voting rounds, anti-fraud controls, and live leaderboards.
  • Nomination Campaigns: Public nomination setups, contestant directory profiles, and voting links.
  • Form Builder: Custom forms supporting registration data and paid submissions.
  • Utility Settlements: Bill payment channels, data bundles, and service subscription routing.

Payment transactions are routed through CBN-licensed, PCI-DSS certified payment processors (e.g., Monnify, Paystack) ensuring regulatory compliance and secure tokenization.

5. Fees, Payments & Withdrawals

The service charges and commissions applicable to our services are clearly displayed within your account dashboard or at transaction checkout.

  • Service fees are non-refundable once the transaction is executed.
  • All withdrawals of ticket sales or contest revenue are subject to validation checks and will be credited to verified bank accounts within one to three (1-3) Business Days.
  • All transactions are denominated and settled in Nigerian Naira (NGN).

6. Refunds & Dispute Resolution

Refund requests are subject to review and are only granted under the following circumstances:

  • A system error caused duplicate debits without delivering value.
  • An Organizer cancels an event and requests ticket refunds in writing, subject to our refund policy rules.

Any dispute arising out of these Terms must be filed in writing to support@zonixx.ng. If a dispute cannot be resolved within fourteen (14) days, it shall be referred to arbitration at the Lagos Multi-Door Courthouse (LMDC) under its rules of arbitration.

7. Intellectual Property

The Zonixx software, graphics, user interface, brand assets, and proprietary code are the exclusive property of Vinixx Nigeria Limited (or the Vinixx Group of Companies) and are protected by intellectual property laws. You are granted a limited, revocable, non-transferable licence to access and use our Platform for its intended purposes. Unauthorized reverse engineering, copying, or extraction of code is strictly prohibited.

8. Data Protection & Security

We process your personal information in strict compliance with the Nigeria Data Protection Act 2023 (NDPA) and global security standards. All sensitive data transmission is encrypted using SSL/TLS, and credit card processing is handled off-server by PCI-DSS compliant payment gateways.

9. Acceptable Use Policy

You agree to use Zonixx strictly for lawful activities. You are prohibited from:

  • Engaging in fraud, theft, money laundering, or processing unverified transactions.
  • Uploading illegal, offensive, or copyrighted materials without authorization.
  • Utilizing bots, scripts, or duplicate voter identities to manipulate contest voting metrics.

10. Limitation of Liability

Zonixx operates "as is" and "as available". To the maximum extent permitted by law, Vinixx Nigeria Limited shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from your use of the platform. In all circumstances, our maximum aggregate liability for any claim shall not exceed the total service fees paid by you to Zonixx in the 12 months preceding the claim.

11. Force Majeure

We shall not be liable for any delays or failures in performance resulting from causes beyond our reasonable control, including but not limited to telecommunication breakdowns, internet connectivity failures, payment processor outages, labor disputes, natural disasters, or changes in regulatory guidelines.

12. Governing Law & Jurisdiction

These Terms shall be governed, interpreted, and enforced in accordance with the laws of the Federal Republic of Nigeria. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Lagos State, Nigeria.
